Version 1.1 · Effective October 9, 2026
Website Service Agreement
This Agreement is between Ethen Harrelson, doing business as Harrelson Products and Services ("Provider"), Saltillo, Mississippi, and the business named at checkout ("Client"). It takes effect when Client accepts it online or signs it (the "Effective Date"). It includes Schedule A and the Account Access Authorization below.
1. Services
1.1 Provider will build, host-manage, and maintain Client's website and related online listings as described in the plan Client selects in Schedule A (the "Services").
1.2 Anything not listed in Schedule A is outside the Services. Provider may quote extra work separately; extra work is done only after Client approves the quote in writing (email counts).
2. Fees and payment
2.1 Setup fee. Client pays the setup fee in full at signup, or 50% at signup and 50% when Client approves the finished site (Launch Approval). With the 50/50 option, Client's card on file is charged the remaining 50% automatically at Launch Approval. The website goes live on Client's domain only after the setup fee is paid in full. Payments made become non-refundable once Provider starts work, which is when Client submits the Onboarding form. If Client does not approve the site after one round of revisions, either party may end the Agreement; Provider keeps the deposit and Client receives no website files.
2.2 Monthly fee. Billed automatically each month starting on the day the website goes live, by card or bank payment through Stripe.
2.3 Late payment. If a payment fails and is not fixed within 10 days of notice, Provider may pause the Services (including edits and management). The website itself stays in Client's account.
2.4 Price changes. Provider will give 30 days' written notice before changing the monthly fee.
2.5 Taxes. Fees do not include sales tax. Client pays any sales tax that applies.
2.6 Third-party costs. Client pays directly for its own domain name, and any paid tools it chooses (for example, premium email or paid plugins). Client's own Stripe fees on its customers' payments are Client's.
3. Client responsibilities
Client will provide accurate business information, content, and photos, and respond to Provider's questions within a reasonable time; review and approve the site before launch (Launch Approval); keep its own logins secure and stay the owner of its accounts; and make sure its business meets any licensing, advertising, industry, and consumer-protection rules that apply to it.
4. Client content and warranties
4.1 "Client Content" means everything Client provides: text, logos, photos, prices, reviews, claims, and business information.
4.2 Client promises that it owns or has permission to use all Client Content, including permission from every person shown in photos or described in bios, and that Client Content is truthful and does not infringe anyone's rights or break any law.
4.3 Provider may rely on Client Content as provided and is not responsible for checking it.
5. Ownership
5.1 Client owns its domain name, Client Content, its Cloudflare, Google, and Stripe accounts, and its customer data.
5.2 The website. Once Client has paid the setup fee in full, Provider grants Client ownership of the finished website files made for Client.
5.3 Provider keeps its general know-how, reusable templates, code libraries, and tools, and may reuse them for other clients. Client gets a permanent, free license to use any of these that are part of its website.
5.4 Portfolio. Provider may show Client's site in its portfolio unless Client opts out in writing.
5.5 Footer credit. Every site Provider builds carries a small credit at the bottom of each page reading "Site by Harrelson Products and Services," linking to Provider's website. Client agrees to keep this credit in place while this Agreement is in effect. After this Agreement ends, Client may remove it.
6. Account access
Provider works through admin or manager access that Client grants under the Account Access Authorization. Provider will not become the primary owner of any Client account, will not store Client passwords, and will remove its access when this Agreement ends.
6.1 Passwords in rare cases. Provider works through invitations and does not normally need passwords. In a rare case, such as troubleshooting an account that cannot be reached any other way, Provider may ask Client to share a password temporarily. Provider will use it only for that task, will never store it or share it with anyone, and will help Client change it as soon as the task is done.
7. No guarantee of results
Provider does not guarantee search rankings, Google placement, website traffic, leads, calls, reviews, or sales. Google, search engines, and other platforms set their own rules and can change them at any time.
8. Third-party services
The website and Services run on third-party services, including Cloudflare, Google, Stripe, email providers, and domain registrars. Provider is not responsible for their outages, errors, policy changes, account suspensions, or price changes. Client's use of them is also governed by their own terms.
9. Not legal or compliance advice
Provider does not provide legal, tax, accessibility (ADA/WCAG), privacy-law, or industry-compliance advice. Provider will use reasonable care to build a clean, mobile-friendly site and may supply template documents such as a privacy policy. Client is responsible for confirming those meet its legal needs.
10. Warranty disclaimer
Provider will perform the Services in a professional manner. Other than that, the Services and website are provided "as is" and "as available." To the fullest extent allowed by law, Provider disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
11.1 Provider's total liability under this Agreement is limited to the fees Client paid Provider in the 3 months before the event giving rise to the claim.
11.2 Provider is not liable for lost profits, lost revenue, lost data, lost business, or any indirect, incidental, special, or consequential damages, even if told they were possible.
11.3 These limits do not apply where the law does not allow them, such as for fraud or intentional misconduct.
12. Indemnification
Client will defend and pay for any claim, loss, or cost (including reasonable attorney fees) brought against Provider that comes from Client Content, Client's products or services, or Client breaking this Agreement or the law.
13. Term and cancellation
13.1 This Agreement runs month to month until cancelled.
13.2 Either party may cancel with 30 days' written notice (email or the client page counts). Monthly fees already paid are not refunded.
13.3 Provider may end this Agreement immediately if Client fails to pay after the 10-day notice, uses the site for anything unlawful, or is abusive toward Provider.
13.4 On cancellation, Provider confirms Client's ownership of all accounts, supplies the site files on request, and removes its own access. Sections 4, 5, 9–12, and 14 continue after cancellation.
14. General terms
14.1 Governing law. Mississippi law governs this Agreement. Any lawsuit must be brought in the state or federal courts serving Lee County, Mississippi.
14.2 Independent contractor. Provider is an independent contractor, not an employee or partner of Client.
14.3 Assignment. Provider may transfer this Agreement to a business entity it owns (for example, a future LLC) with notice to Client.
14.4 Entire agreement. This Agreement, Schedule A, and the Account Access Authorization are the whole agreement. Changes must be in writing. Provider may update these terms for future billing periods with 30 days' notice.
14.5 Severability. If any part is found unenforceable, the rest stays in effect.
14.6 Notices. Notices go to the email addresses each party provides at signup.
14.7 Electronic acceptance. Clicking "I agree" at checkout, or signing electronically, has the same effect as a handwritten signature.

| Account | Client's role | Provider's role | What Provider may do |
|---|---|---|---|
| Cloudflare (domain, DNS, hosting) | Owner | Administrator (invited member) | Deploy and update the website, manage DNS records. Not: transfer or delete the domain, change billing. |
| Google Business Profile | Primary Owner | Manager | Edit hours, services, photos, posts; reply to reviews. Not: remove owners or delete the profile. |
| Stripe (Pro payment links only) | Owner | Restricted access | Create payment links for the website. Not: change payout bank details or issue refunds without Client's request. |

Client creates and owns each account, keeps its own login, and invites Provider by email; Provider does not ask for passwords except in the rare troubleshooting case described in Section 6.1. Client is responsible for verifying its Google Business Profile, which Google requires the owner to do. Client may remove Provider's access at any time; doing so pauses the Services that depend on it. Provider will remove its own access within 7 days after the Agreement ends. Provider is not responsible for actions taken by Client, Client's staff, or anyone else Client gives access to.
